Each transaction is different with its own challenges.

But there’s a common theme: they’re big, complex and demanding. And ultimately highly satisfying.

We carry out a broad range of work that includes general corporate and commercial; mergers and acquisitions; joint ventures; banking and finance; restructuring and corporate recovery; infrastructure financings; capital market transactions; property projects; and privatisations.

We have experience in energy and natural resources; metallurgy; food and drinks; retail; telecommunications; banking; automotive; aerospace and fast-moving consumer goods.

Each transaction is different with its own challenges but there’s a common theme: they’re big, complex and demanding. And ultimately highly satisfying.

Our practice areas

All our lawyers join one of our cross-practice industry groups. They work in one practice area but become knowledgeable in how the law affects a particular sector.

Our legal services are delivered across a range of practice areas:

Banking and finance law

Banking and Finance

  • syndicated and bilateral lending
  • project finance
  • asset finance
  • structured finance and derivatives
  • acquisition finance
  • restructuring and insolvency
  • public private partnership (PPP) projects

Our Russian banking and finance practice covers the full range of international and domestic finance activities. We are extremely well versed in structuring financing arrangements for lenders and borrowers alike – often devising solutions that have never been used before. Clients include major international and Russian financial institutions, export credit agencies and corporates. However, ultimately, it’s irrelevant where the parties come from or whether the finance is for a Russian or foreign project; we can develop the funding structures, conduct negotiations and prepare the documentation in a way that addresses everyone’s concerns.

Antitrust law

  • Analysis of notifiability under antitrust and foreign investment laws
  • Antitrust and foreign investment filings and clearances
  • Advice on a wide range of antitrust and foreign investment issues
  • Representing clients before the FAS, including during dawn raids and related proceedings
  • Internal compliance audits
  • Seminars and trainings on antitrust law

We have established a well-recognised competition practice, acting for international and domestic clients in the industrial, commercial and service sectors, as well as for financial institutions. We work closely with our international antitrust, competition and trade (ACT) group, which is recognised as one of the leading and largest international competition practices, with over 50 partners and 260 specialists.

Corporate law/M&A

Corporate/ M&A

  • Mergers
  • Acquisitions
  • Exits and strategic sale
  • Joint ventures
  • Commercial contracts
  • Procurement contracts
  • Technology transfers

Our corporate/M&A group is one of the largest in the world, with a strong reputation in Russia and globally. Our Moscow deal lawyers cover public and private M&A, and the whole range of strategic alliances, whether for buyers, sellers, target financial advisers or management. We work for major Russian and foreign clients in all economic sectors. Our corporate practice collaborates with antitrust, finance, employment and real estate practices on the full range of deal-related issues. If a transaction involves dealing with the laws of, or assets in, multiple jurisdictions, we work as one team with our colleagues located in the most important business hubs of Europe, Asia, the Middle East and the US for international support.

Dispute resolution

Dispute resolution

  • international and domestic commercial arbitration and litigation
  • corporate conflicts
  • asset tracing and recovery, including in relation to offshore companies

Our Russian dispute resolution practice covers the full range of commercial disputes – from the sale of goods and loans to complex construction and M&A projects – across a wide range of industries, including construction and infrastructure, transport, energy, oil and gas, mining, financial services and IT.

We have handled some of the most complex and high-value disputes relating to, or originating from, Russia and the CIS. Clients come from Russia, the CIS and beyond, with the disputes centring on contracts governed by both Russian and non-Russian (most often English) law.

Labour law

People and Reward

  • Recruitment
  • Remuneration and benefits
  • Termination of employment
  • Employing foreign nationals
  • HR documents
  • Compliance
  • Dispute resolution
  • Personal data

Our tight-knit P&R practice group advises local and international companies on all aspects of Russian employment and labour law – both contentious and non-contentious – and also in relation to personal data.

Our P&R lawyers not only advise on employment relations, write company policies and comment on applicable Russian law; they also offer creative and pragmatic advice tailored to the client’s circumstances and risks. Since many of our client contacts are not lawyers, the group has developed significant expertise in modern HR concepts and practices in order to be able to advise HR personnel at the highest level and speak the same language.

The practice group helps clients prepare for and handle audits and inspections by the state labour inspectorate and the personal data regulator, represents them in employment-related disputes, and provides support for all day-to-day HR matters.

Public private partnership

  • Major projects
  • Project finance
  • EPC contracts
  • Regulatory
  • Infrastructure
  • Public private partnership (PPP)

Our Russian projects practice is considered the market leader. We have advised our clients on the most sophisticated and significant projects in the oil and gas, power, transport, utilities, social infrastructure and other sectors.

We provide full-cycle advice on procurement, financing, construction and operation of major projects. This involves a variety of corporate, finance, construction, state support, antimonopoly, regulatory and other matters. Our Moscow team is supported by a multijurisdictional global group with a wealth of experience in major projects around the world.

We have been providing legal support for major projects from our Moscow office since 1996. We were the first among international law firms to advise clients on PPP projects in Russia and, since then, have advised the government, sponsors and creditors on the largest and most innovative deals.

We are active members of the expert community and regularly contribute to the development of Russian legislation and implementation practice.
